1. Agreement to Terms
By accessing or using the Neptune Formation website and services, you agree to be bound by these Terms and Conditions. If you do not agree, please cease use of our services immediately.
2. Our Services & Scope of Duty
Neptune Formation acts as a company incorporation agent. We prepare and file incorporation applications to Companies House in the UK and appropriate corporate registries worldwide based on information provided by the user. We are not a law firm or a licensed financial advisory; no legal, tax, or financial advice is implied or provided.
3. User Obligations & AML Compliance
You agree to provide true, accurate, and current information when submitting company details. Under UK Money Laundering Regulations (MLR) and international Anti-Money Laundering (AML) standards, we are legally required to verify the identity of directors, shareholders, and ultimate beneficial owners (UBOs). You agree to provide government-issued identity documents and proof of address upon request. Failure to pass verification will result in service suspension.
4. Payments and Fees
All fees are displayed upfront in our service agreements. Payment is due in full at the time of order placement. Annual renewals for registered office addresses, virtual mail services, and secretarial duties are billed annually. We reserve the right to suspend address scan forwarding if annual renewal fees remain unpaid.
5. Cancellation and Refund Policy
Since government registration registry fees are paid immediately to government offices upon form submittal, incorporation fees are non-refundable once filing has been submitted to Companies House or regional registries. If you request cancellation before filings have been sent, a full refund minus a £50 administrative charge will be processed.
6. Intellectual Property
All design assets, layout concepts, text graphics, logos, CSS variables, code elements, and interactive global map vectors on this website are the intellectual property of Neptune Formation and are protected by international copyright law.
7. Limitation of Liability
Neptune Formation shall not be liable for any direct, indirect, consequential, or special damages, including lost profits, fines, or registration delays arising from registry workloads, incorrect user submissions, or refusal of bank account approvals by external financial institutions.
8. Dispute Resolution & Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts in London, United Kingdom.
