These Terms & Conditions (“Terms”, “Agreement”) constitute a legally binding agreement made between Neptune Formation (“Neptune Formation”, “we”, “us”, or “our”) and the customer (“Customer”, “Client”, “you”, or “your”), concerning your access to and use of our website (neptuneformation.com) as well as any corporate, incorporation, administrative, nominee, registered office, banking assistance, branding, and digital web development services provided by us.

By placing an order, submitting verification documents, or accessing our services, you expressly acknowledge that you have read, understood, and agreed to be bound by all of these Terms & Conditions alongside our Refund & Cancellation Policy and Privacy Policy.

1. Scope and Legal Capacity

Neptune Formation acts as a corporate service provider, company formation agent, and digital web studio operating under the laws of the United Kingdom. By engaging our services, you warrant that:

• You are at least 18 years of age and possess full legal capacity to enter into binding contracts;
• You are authorized to act on behalf of the proposed company, shareholders, directors, and beneficial owners;
• All information and identification documentation submitted to us are genuine, accurate, and up-to-date; and
• The entities to be formed or assisted will be used exclusively for lawful commercial purposes.

2. Nature & Scope of Services

Neptune Formation offers structured corporate, administrative, and digital packages which include but are not limited to:

• UK LTD & Global Company Formations: Preparation and electronic filing of Articles of Association, Memorandum of Association, PSC registers, and incorporation documents to Companies House and international company registries.
• Nominee Services: Facilitation of professional nominee directors, nominee shareholders, and corporate representative arrangements subject to strict compliance oversight.
• Registered Office & Address Services: Provision of prestigious corporate address facilities in London for official government mail handling and statutory correspondence.
• Banking Assistance: Administrative preparation of corporate dossiers, introduction to tier-1 business banking partners, and payment gateway onboarding support.
• Digital Design & Web Development: Custom vector logo design, brand identity kits, 5-page responsive corporate websites, CMS platforms, and custom e-commerce stores.

3. Professional Disclaimer — No Legal or Tax Advice

Information provided on our website, through email consultations, or in corporate documents is provided for administrative and informational purposes only. We do not provide legal, tax, accounting, or investment advice. Customers are strongly encouraged to seek independent legal and tax counsel in their home country and the jurisdiction of incorporation.

4. Anti-Money Laundering (AML) & KYC Verification

In strict compliance with the UK Money Laundering, Terrorist Financing and Transfer of Funds Regulations 2017 (MLR 2017) and the Economic Crime and Corporate Transparency Act 2023 (ECCTA 2023), Neptune Formation is legally obligated to perform Customer Due Diligence (CDD) and verify the identity of:

• All appointed company directors and company secretaries;
• All shareholders holding 25% or more voting rights or shares;
• All Ultimate Beneficial Owners (UBOs) and Persons with Significant Control (PSCs); and
• Any third-party instructing agent placing an order on behalf of another party.

Required documentation includes valid government-issued photo identification (passport or national ID card) and proof of residential address dated within the last 3 months (utility bill, bank statement, or local authority tax bill). Orders cannot be filed with government registries until KYC verification has been completed satisfactorily.

5. Orders, Invoicing & Account Activation

Orders placed through our online checkout system constitute an offer to purchase services. Acceptance occurs when we confirm your order, assign an official Order Reference Number (e.g. NEP-2026-XXXX), and issue an itemized electronic invoice.

We reserve the right to refuse or cancel any order at our sole discretion, including cases where KYC verification fails, incomplete information is provided, or the proposed corporate activities raise compliance concerns.

6. Pricing, Currency & Payment Processing

All service fees are quoted in Great British Pounds (GBP) upfront on our pricing catalog and checkout pages. Payment is due in full at the time of order placement via PayPal, major debit/credit cards (Visa, MasterCard, American Express), or verified bank transfers.

Government filing fees and statutory registry charges may be included in the package price or billed separately as clearly indicated. Renewal fees for ongoing annual services (such as registered office address or nominee services) are billed annually in advance before the anniversary of activation.

7. Immediate Performance & Cancellation Rights

By requesting immediate commencement of company formation filings or digital design work at checkout, you expressly request that Neptune Formation begin performing work before the expiry of the statutory 14-day consumer cooling-off period.

You acknowledge that where services are fully performed upon your express request, statutory cancellation rights cease, and where services are partially performed, proportionate deductions for completed work and non-recoverable third-party/statutory fees will apply. 8. Nominee Services Terms & Conditions

Where nominee director, nominee shareholder, or nominee corporate representative services are purchased:

• Nominees act strictly in a non-executive capacity and do not participate in active business trading, financial operations, or day-to-day management;
• A formal Power of Attorney (POA) and Declaration of Trust (DOT) will be executed establishing the beneficial owner's sole economic rights and operating authority;
• The Customer agrees to fully indemnify and hold harmless the nominee and Neptune Formation against any liabilities, claims, debts, taxes, or losses arising from company activities;
• The Customer must not use nominee arrangements to conceal unlawful activities, evade sanctions, or mislead tax authorities; and
• Disclosure of nominee identification data and documentation constitutes a substantial service milestone as detailed in our Refund Policy.

9. Registered Office & Address Facilities

Our registered office address facility in London is provided strictly for receiving official statutory mail from Companies House, HM Revenue & Customs (HMRC), courts, and government authorities. The address must not be used as a physical trading address, retail shopfront, or for receiving physical commercial merchandise/parcels unless authorized under a specific mail-handling agreement.

Upon termination or non-renewal of address services, the Customer is legally required to update Companies House records to change the registered address within 14 calendar days. Failure to do so authorizes Neptune Formation to file Form RP07 / resignation notices with Companies House.

10. Banking Assistance Support

Neptune Formation assists clients in preparing application dossiers and introducing companies to licensed UK and international banking institutions, electronic money institutions (EMIs), and payment processors.

The Customer acknowledges that the ultimate decision to approve, delay, or reject a bank account application rests solely with the compliance committee of the chosen bank. Neptune Formation does not guarantee account approval, and third-party bank decisions do not constitute a service failure on our part.

11. Digital Design, Branding & Website Deliverables

For custom digital services (Logo Designing £49, Brand Identity Kit £99, 5-Page Website £299, CMS £399, E-Commerce £499):

• Logo & Brand Kits: Full copyright ownership of the approved final logo design transfers to the Customer upon final concept sign-off and delivery of vector master files (AI, EPS, SVG, PNG).
• Website Development: Websites are developed using modern responsive standards. Source code, assets, and deployment files are transferred upon completion. Clients are provided with testing and deployment support.
• Client Content: The Customer is responsible for providing all necessary text copy, brand imagery, and product data. The Customer warrants that all provided materials do not infringe third-party intellectual property rights.

12. Customer Warranties & Accuracy of Information

The Customer warrants that all information provided to Neptune Formation for statutory filings is truthful, accurate, and complete. The Customer agrees to notify Neptune Formation immediately of any changes to directors, shareholders, residential addresses, or corporate activities.

Submitting false or misleading information to Companies House is an offence under the Companies Act 2006 and Economic Crime and Corporate Transparency Act 2023. Neptune Formation accepts no liability for errors resulting from inaccurate customer submissions.

13. Customer Delays & Changes of Instruction

Timely completion of services depends on the Customer's prompt submission of required KYC documents, application forms, and design feedback. Neptune Formation is not liable for project delays caused by customer inactivity or failure to respond to compliance inquiries.

If the Customer requests material changes to the corporate structure, jurisdiction, company name, or website scope after work has commenced, additional administrative and filing fees may apply.

14. Prohibited & Unlawful Business Activities

Neptune Formation maintains a zero-tolerance policy against financial crime and unlawful enterprise. Services will not be provided to, and will be immediately terminated for, any entity involved in:

• Money laundering, terrorist financing, or sanctions evasion;
• Unlicensed banking, investment schemes, Ponzi schemes, or illegal gambling;
• Sale of counterfeit goods, weapons, or illicit substances;
• Phishing, ransomware distribution, fraud, or cybercrime; or
• Entities subject to UK, UN, EU, or US OFAC sanctions.

15. Service Suspension & Termination

Neptune Formation reserves the right to suspend or terminate services immediately without prior notice if:

• The Customer breaches any provision of these Terms & Conditions;
• The Customer fails to satisfy mandatory AML/KYC checks or provides fraudulent documents;
• The Customer fails to pay renewal fees for address or nominee services when due; or
• Required by law enforcement authorities, Companies House, or regulatory directives.

16. Third-Party Disclaimers & Government Registries

While Neptune Formation exercises the highest degree of professional care in preparing and submitting filings, we do not control government processing timelines, server downtimes, or discretionary registration decisions of Companies House, HMRC, or international authorities.

A government query, name clash rejection, or delay does not constitute a breach of contract by Neptune Formation. We will assist in resubmitting corrected filings within the original agreed scope where feasible.

17. Limitation of Liability

To the maximum extent permitted by applicable UK law:

• Neptune Formation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, data, or goodwill; and
• Our total cumulative liability arising out of or in connection with any service provided shall be strictly capped at the total amount paid by the Customer for that specific service package.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be legally excluded under English law.

18. Indemnification

The Customer agrees to defend, indemnify, and hold harmless Neptune Formation, its directors, officers, employees, nominees, and agents against any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from the Customer's breach of these Terms, unlawful commercial activities, or violation of third-party rights.

19. Force Majeure

Neither party shall be held liable for failure or delay in performing contractual duties due to events beyond reasonable control, including acts of God, war, civil unrest, strikes, government registry disruption, cyber warfare, global internet outages, or statutory regulatory embargos.

20. Chargebacks & Dispute Resolution

Customers agree to contact our support desk directly at contact@neptuneformation.com to resolve any issues before initiating a payment dispute or chargeback with PayPal or their card issuer.

Where an unjustified chargeback is initiated, Neptune Formation reserves the right to provide complete transactional proof, filing records, IP logs, and accepted terms to the payment processor, and recover associated administrative and legal expenses.

21. Data Protection & Confidentiality

22. Severability & Entire Agreement

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Neptune Formation.

23. Governing Law & Jurisdiction

This Agreement, its interpretation, and any dispute or claim arising out of or in connection with it (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.

The parties irrevocably agree that the courts of London, England shall have exclusive jurisdiction to settle any dispute or claim arising out of this Agreement.
